Planning on leaving my current job this summer...spontaneously sent an​ "independent​ contract agreement" by current employer

Hi all. I'm in a bit of strange situation and I'm looking for advice on what to do. My work situation involves me primarily working for a very small company and occasionally helping out what you might call a "sister" company. The company has been ok (a little too loose with structure but I am able to workaround that) but I just want to do something different with my life (basically same field different concentration). I've already found a new place to work after graduation. The sister company is pretty bleh (there's been a few bad incidents there that have made me dread anytime I have to work with them). Today, I received an email from my direct boss with an email containing an "independent contract agreement" from the sister company. I found it a little strange since I don't think I do enough work with them to really justify a contract but honestly they're not always the best at communication with me so they probably have some strange reason they are just now doing this and didn't tell me. However, the contract has some guidelines that seems a little much for my limited involvement with the company. (Even stranger is the fact that the work I am doing with my actual company is basically eliminating the need for me with the sister company.)

  1. Requiring I give 180 days notice to quit. Company is allowed to terminate immediately without notice or further payment.
  2. Requiring I give the company "right of first refusal" for a company I work with for maybe two weeks every two months or so... Basically requiring I tell my boss I'm quitting and possibly being out of a job until after graduation. I'm not planning on leaving the company high and dry(currently working as much as I can to finish up a big project I'm working on), but I don't want to say "just sticking around a few more months and then see ya!".

How do I ask for some changes in the contract without shooting myself in the foot? Some of the changes I'd like include

  1. Moving notice period to 15-30 days. If I am needed after that while they look for a replacement (which again shouldn't be needed) I am willing to offer limited support for say 60 days after my last day.
  2. Limiting right of refusal to jobs within the specific concentration. The job I will be changing to will involve doing different things than what I do now.
