Should I leave? What would you do? (job dilemma, workplace ethics)

I'm not sure the industry matters, it's a basic scenario. I'm the account manager for a client. I have manager. My manager reports to the CEO. I took over an account from my manager. After a year or so, it was discovered several important requirements were not taken care of. Some of which are regulatory, some of which are compliance, some of which are basic maintenance stuff. Some require serious $$$$ to take care of. I'm now expected by my manager to "quietly take care of these items" ... none of which were neglected on my watch, and 100% entirely on my manager. Now ... I get the point of business. Keep the client, they pay our fees. I can't bring these lapses to the client as they will leave the company. I can't bring these lapses to the CEO, it will not look good for me to have gone around my manager. There will be retaliation and won't be good for my future. My manager basically runs the company for the CEO. Absent those two solutions, the third is for me to leave.

I'm being asked to commit very serious ethical lapses. There is nothing criminal or illegal here, but definitely open to civil claims by the client for breach of fiduciary duty. The more I play along, the more complicit I become. The more complicit I am, the more guilty I become. The only way out, I see, is to leave the company. But should I have to What would you do? Am I not being a company man by playing along?

EDIT: I left a segment of my industry that was completely crooked and shady. Two of my last 3 employers were indicted and the 3rd just has better lawyers. This was supposed to be somewhere where honesty and integrity was rewarded.
